1. Description of Services

Ringlead Automotive provides a cloud-based communications and customer relationship management (CRM) platform for automotive dealerships. Our Services include, but are not limited to:

• Voice calling (inbound and outbound) with call recording and transcription
• SMS and text messaging for customer communication
• Lead management, CRM, and opportunity tracking
• AI-powered analytics, conversation summaries, and performance insights
• Dealership administration and user management tools

2. SMS & Text Messaging Terms

By opting in to receive text messages from a dealership using our platform, you agree to the following:

• Consent: You consent to receive SMS text messages from the dealership at the phone number you provide. Consent is not a condition of any purchase.
• Message types: Messages may include follow-ups about vehicle inquiries, appointment confirmations and reminders, account status updates, and responses to your questions.
• Frequency: Message frequency varies and may range from 1 to 10 messages per month depending on your inquiry activity.
• Charges: Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.
• Opt-out: You may opt out at any time by replying STOP to any message. After opting out, you will receive a one-time confirmation and no further messages will be sent.
• Help: Reply HELP to any message for assistance, or contact the dealership directly.

We do not sell, rent, or share your phone number or opt-in consent with third parties for marketing purposes. Phone numbers collected for SMS messaging are used solely for the purpose described at the time of collection.

3. Accounts & Access

To use certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited, unauthorized, or spam messages
• Transmit malicious code, viruses, or harmful content
• Interfere with the operation or security of the platform
• Impersonate any person or entity

We reserve the right to suspend or terminate access to the Services for violations of these Terms.

5. Call Recording & Transcription

Calls made or received through the platform may be recorded and transcribed for quality assurance, training, and operational purposes. By using the Services, you acknowledge and consent to such recording. Where required by law, callers will be notified that calls may be recorded.

6. Intellectual Property

All content, features, and functionality of the Services — including software, text, graphics, logos, and trademarks — are owned by or licensed to Ringlead Automotive and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Services without our prior written consent.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RINGLEAD AUTOMOTIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Changes to These Terms

We may update these Terms from time to time. The most current version will always be available on this page with the updated “Last Updated” date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
